Event and Time
Event Description
In early 2022, Hynash Constructions Pty Ltd (Hynash) was commissioned by Bathurst Council as the head contractor for the Bathurst Stormwater Harvesting Project. Hynash, seeking subcontractors, invited BRP Industries Pty Ltd (BRP) to quote for specific works. After negotiations, a Subcontract was executed in December 2022. However, by March 2024, BRP accepted Hynash's repudiation of the subcontract and sought payment for work performed.
Application and Claims
- Claims by BRP: BRP issued a payment claim for $234,286.80 under the Building and Construction Industry Security of Payment Act 1999 (NSW), following the termination of the subcontract due to Hynash's failure to allow work and rectify breaches.
- Defenses by Hynash: Hynash acknowledged a debt was owed, claiming to have paid $110,756.80 as an upfront payment but disputed the remaining amount, contesting the validity of BRP's payment claim.
Judicial Decisions
- The Court ruled in favor of BRP, awarding $243,792.28 for the work done and ordered Hynash to pay BRP’s associated costs, recognizing that Hynash could not set off the amount paid as it was part of a matter arising under the construction contract.
Dispute Points and Legal Basis
Dispute Points
- BRP's Position:
- Correctly issued a payment claim under the Payment Act. - Validity of claim was not properly addressed, as Hynash failed to provide a payment schedule. - Claimed entitlement to the full amount based on the work performed.
- Hynash's Position:
- Asserted it paid an upfront fee of $110,756.80 which should set off against BRP’s claim. - Contested the amount owed, arguing their defense related to a matter arising under the Subcontract. - Cited contractual terms to justify their position, including the right to reimbursement of overpayment upon termination.
