Event and Time
Event Description
Two related proceedings are before the Court under the names Administrators Proceeding and Crewes Proceeding that involve Tomi-Sasha Holdings Pty Ltd and the Crewes Parties, among other defendants. They concern disputes related to the appointment of administrators, financial management of the company and its assets, and the validity of security interests over the assets of a discretionary trust.
Application and Claims
- Administrators Proceeding: The Company (Tomi-Sasha) is the plaintiff, and NTM Super Holdings is the second plaintiff. Mr. and Mrs. Crewes are the defendants along with their daughters and another company, Stanhope Street.
- Crewes Proceeding: The Crewes Parties (Wayne and Eileen Crewes) claim that:
- The appointment of Mr. Simon Nelson as receiver and manager by NTM is invalid. - The Company entered certain agreements in its capacity and not as the trustee of a trust. - Security interests claimed by NTM do not extend to the assets of the Trust.
Judicial Decisions
- The Court has to assess the validity of the receiver's appointment, the administrators' actions, and the extent of the security agreements concerning the assets of the Trust and the Company.
Dispute Points and Legal Basis
Dispute Points
Crewes Parties’ Claims:
- Disputed validity of Mr. Nelson’s appointment.
- Alleged improper conduct concerning the management of the Company and Trust assets.
- Claims that the agreements (LCA and GSA) were executed in personal capacity, not on behalf of the Trust.
NTM and Administrators’ Arguments:
- NTM claims multiple defaults by the Company and asserts that the agreements provide them valid security interests over the Trust assets.
- They maintain the receivership has progressed significantly and that all operations fall within their rights under the given agreements.
